General Terms and Conditions of Sale for European Customers

These General Terms and Conditions of Sale govern the online sale of products and services through the websites www.tectron.it, www.tectronelectronics.eu, www.tectron.biz and any related commercial domains operated by Tectron Electronics SRL Unipersonale.

These Terms apply to customers located in the European Union and, where applicable, to customers located in the European Economic Area. Mandatory consumer rights granted by applicable law remain unaffected.

1. Scope

These Terms apply to the sale of electronic components, spare parts, accessories, modules, assemblies, tools, equipment, software, technical items and related products or services offered by Tectron Electronics SRL through its online store.

By placing an order, the Customer confirms that he or she has read, understood and accepted these Terms, the product description, the price, the delivery costs, the payment method, the warranty information and the withdrawal information made available before checkout.

2. Definitions

For the purposes of these Terms:

  • Consumer means any natural person purchasing for purposes which are outside his or her trade, business, craft or profession.
  • Business Customer means any customer purchasing for purposes related to a trade, business, craft, profession, company, organisation or resale activity.
  • Customer means either a Consumer or a Business Customer.
  • Product means any item offered for sale through the website, including spare parts, electronic components, accessories, modules, assemblies, tools, devices, equipment and technical goods.
  • Contract means the sales contract concluded between the Customer and Tectron Electronics SRL following acceptance of the order.

3. Seller identity and third-party sellers

Unless otherwise expressly stated on the product page or during checkout, the seller is Tectron Electronics SRL Unipersonale.

If products offered by third-party sellers are made available through the website or marketplace functions, the identity of the actual seller, where required, will be indicated in the product page, checkout process or order confirmation. The Customer is invited to carefully check the identity of the seller before completing the order.

4. Product information and technical compatibility

Tectron takes reasonable care to provide accurate product descriptions, codes, images, compatibility information, technical specifications and availability data. However, technical spare parts and electronic components may vary depending on manufacturer revisions, production batches, hardware versions, firmware versions, regional variants, model suffixes and undocumented changes made by the original manufacturer.

The Customer is responsible for checking, before ordering, all relevant technical information, including product code, OEM code, model number, revision, connector type, voltage, dimensions, polarity, photographs and intended application.

Where the Customer is uncertain about compatibility, the Customer should contact Tectron before placing the order and provide all useful information, including complete appliance model, original part number, clear photographs and technical details.

A product ordered on the basis of an incorrect model, incomplete code, wrong revision, wrong technical identification or incorrect diagnosis made by the Customer shall not automatically be considered defective or non-conforming. Mandatory consumer rights remain unaffected.

5. Orders and conclusion of the contract

The publication of products on the website does not constitute a binding offer by Tectron, but an invitation to the Customer to place an order.

The order is submitted when the Customer completes the online checkout procedure and sends the order electronically. After submission, the Customer will receive an email confirming receipt of the order.

The Contract is deemed concluded only when Tectron confirms acceptance of the order, confirms availability of the product, or starts processing the order for shipment, without prejudice to the Customer's mandatory rights.

Tectron reserves the right to reject or cancel an order, in whole or in part, in case of product unavailability, payment failure, incorrect customer data, suspected fraud, pricing errors, technical errors, obvious product description errors, export restrictions, logistical impossibility or other justified reasons.

If an order is cancelled after payment, Tectron will refund the amount paid for the unavailable or cancelled products and, where applicable, the related delivery costs.

6. Prices, VAT and promotions

All prices are displayed in euros. Taxes, VAT, shipping costs and any additional charges are shown before the Customer confirms the order, where applicable.

For intra-EU Business Customers requesting VAT treatment under EU rules, the Customer is responsible for providing a valid VAT number and correct billing information before the invoice is issued. If the VAT number or billing details are incorrect, Tectron may not be able to amend the invoice after fiscal transmission or accounting registration.

Where Tectron announces a price reduction addressed to Consumers, the previous price will be indicated where required by applicable law. The previous price generally means the lowest price applied by Tectron to the same product during the period required by law before the price reduction.

Discounts, coupons, promotions and special offers are valid only within the limits, duration, stock availability and conditions stated on the website.

7. Payment

The Customer may pay using the payment methods made available during checkout, including bank transfer, PayPal, credit card through payment service providers, electronic payment systems or cash on delivery where available.

Tectron does not directly store or process complete payment card data. Online card payments are handled by authorised payment service providers through secure systems.

In case of payment by bank transfer, the order will normally be processed after receipt of the payment. The bank transfer must include the order number and Customer name or company name. Any bank fees charged by the Customer's bank are borne by the Customer.

In case of unjustified refusal of delivery, non-collection of the parcel or failed cash-on-delivery payment, Tectron may claim reimbursement of documented costs incurred for packaging, shipping, storage, return shipment and administrative handling, to the extent permitted by applicable law.

8. Delivery within Europe

Products are delivered to the address provided by the Customer during checkout. The Customer is responsible for ensuring that the delivery address, postal code, telephone number and email address are complete and correct.

European shipments may be carried out by UPS, postal services, express couriers or other logistics operators selected by Tectron. Shipping costs are calculated and displayed during checkout according to destination, weight, volume, service selected and order value. Where available, European shipping rates may start from EUR 16.90, subject to destination, parcel size and current courier tariffs.

Delivery times shown on the website are estimates and are not guaranteed unless expressly stated as binding. Delays may occur due to customs checks where applicable, remote locations, incorrect addresses, failed delivery attempts, courier delays, force majeure, strikes, weather conditions, stock issues or other circumstances outside Tectron's reasonable control.

Upon delivery, the Customer is invited to check:

  1. that the number of parcels corresponds to the carrier's delivery document;
  2. that the package is intact, not wet, not damaged and not visibly tampered with;
  3. that any visible damage or irregularity is immediately reported to the carrier, accepting the parcel with specific written reservation or refusing delivery where appropriate.

Acceptance without reservation may make it more difficult to prove transport damage, without prejudice to mandatory consumer rights.

9. Passing of risk and retention of title

For Consumers, the risk of loss or damage to the goods passes to the Consumer when the Consumer, or a third party designated by the Consumer other than the carrier, physically receives the goods, unless the Consumer has chosen a carrier not offered by Tectron.

For Business Customers, unless otherwise agreed in writing, the risk passes when the goods are handed over to the carrier or logistics provider.

Ownership of the products remains with Tectron until full payment of the price, shipping costs and any applicable charges has been received.

10. Product availability

Tectron makes reasonable efforts to keep product availability information accurate and updated. However, due to the nature of spare parts, electronic components, supplier stocks, obsolete items and fast-moving inventory, a product shown as available may become unavailable after the order is placed.

If a product is unavailable, Tectron will inform the Customer and may offer, where possible, a substitute product, delayed delivery, partial shipment or cancellation of the unavailable item.

No substitute product will be supplied without the Customer's consent where such consent is required. If the Customer does not accept the proposed solution, Tectron will refund the amount paid for the unavailable item and any related delivery costs, where applicable.

11. Product safety and technical use

Tectron takes reasonable care to market products in compliance with applicable product safety rules. Where required, relevant safety information, manufacturer information, importer information, responsible economic operator details, warnings or instructions may be provided on the product page, on the packaging, in accompanying documents or by electronic means.

The Customer must use the products only for their intended purpose and in accordance with any instructions, warnings, technical specifications, polarity, voltage, installation requirements and manufacturer indications.

Electronic components, modules, boards, spare parts and technical items may be sensitive to electrostatic discharge, incorrect power supply, reverse polarity, overheating, improper soldering, incorrect installation, unsuitable tools, firmware mismatch or defective host equipment.

Damage caused by improper installation, incorrect diagnosis, unsuitable equipment, abnormal electrical conditions, tampering, negligence, electrostatic discharge, soldering errors, programming errors, wrong voltage, reverse polarity or use outside the intended purpose is not covered, except where mandatory law provides otherwise.

12. Legal guarantee of conformity for Consumers

Consumers benefit from the legal guarantee of conformity provided by applicable consumer law. Tectron is liable to Consumers for lack of conformity existing at the time of delivery of the goods, within the limits and according to the remedies provided by applicable mandatory law.

In case of lack of conformity, the Consumer may be entitled to the remedies provided by law, including repair, replacement, price reduction or termination of the contract, according to the applicable legal conditions and hierarchy of remedies.

The legal guarantee does not cover defects or damage caused by misuse, incorrect installation, negligence, normal wear and tear, improper handling, unauthorised repair, tampering, electrostatic discharge, incorrect connection, unsuitable power supply, wrong voltage, reverse polarity, soldering errors or use incompatible with the product's intended purpose.

13. Warranty and liability for Business Customers

For Business Customers, the warranty is governed by the Italian Civil Code and by any written commercial warranty expressly granted by Tectron or by the manufacturer.

Business Customers must inspect the goods promptly upon delivery and notify Tectron in writing of any visible defects, transport damage or non-conformity within the legal or contractual time limits applicable to business-to-business sales.

To the maximum extent permitted by law, Tectron's liability towards Business Customers shall be limited to the price paid for the product giving rise to the claim. Tectron shall not be liable for indirect loss, loss of profit, loss of business, loss of production, loss of data, downtime, diagnostic errors, labour costs, installation costs, removal costs, reassembly costs or consequential damages, unless liability cannot be excluded or limited under mandatory law.

14. Right of withdrawal for Consumers

A Consumer has the right to withdraw from a distance contract without giving any reason within 14 days.

For sales contracts concerning goods, the withdrawal period expires 14 days after the day on which the Consumer, or a third party designated by the Consumer other than the carrier, physically receives the goods.

Where multiple goods are ordered in one order and delivered separately, the withdrawal period expires 14 days after the day on which the Consumer, or a third party designated by the Consumer other than the carrier, physically receives the last good.

The right of withdrawal applies only to Consumers. It does not apply to Business Customers, professionals, companies, resellers or customers purchasing for purposes related to their trade, business, craft or profession.

15. Exceptions to the right of withdrawal

The right of withdrawal is excluded in the cases provided by applicable law, including, by way of example:

  • goods made to the Consumer's specifications or clearly personalised;
  • goods which are liable to deteriorate or expire rapidly;
  • sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery;
  • sealed audio or video recordings or sealed computer software which were unsealed after delivery;
  • digital content not supplied on a tangible medium, where performance has begun with the Consumer's prior express consent and acknowledgement of loss of the right of withdrawal, where applicable;
  • services fully performed, where performance began with the Consumer's prior express consent and acknowledgement of loss of the right of withdrawal, where applicable;
  • other cases where mandatory law excludes the right of withdrawal.

Electronic spare parts, electronic modules, boards, technical components and installation-sensitive products are not generally excluded from withdrawal solely because of their nature, unless a statutory exception applies. However, the Consumer is liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

In particular, products that have been installed, powered, soldered, programmed, altered, damaged, exposed to electrostatic discharge, deprived of anti-static protection, used in an appliance, connected to unsuitable equipment or returned in a condition that prevents resale as new may be subject to a reduction of the refund, to the extent permitted by applicable law.

16. How to exercise the right of withdrawal

To exercise the right of withdrawal, the Consumer must inform Tectron of the decision to withdraw from the contract by means of an unequivocal statement before the withdrawal period expires.

The withdrawal notice may be sent by:

  • email to info@tectron.it;
  • registered letter to Tectron Electronics SRL, Via Carlo Granozio 9, 84128 Salerno, Italy;
  • the online withdrawal function made available on the website, where applicable;
  • any other method expressly made available by Tectron for withdrawal or RMA requests.

Where the contract is concluded through an online interface and where required by applicable law, Tectron will make available an online withdrawal function allowing Consumers to submit a withdrawal request electronically. The Consumer will receive confirmation of receipt of the withdrawal request on a durable medium without undue delay.

Any RMA number or return authorisation issued by Tectron is intended for logistical handling of the return and does not limit mandatory consumer rights where the withdrawal has been validly exercised within the legal period.

17. Return of goods after withdrawal

The Consumer must return the goods without undue delay and in any event no later than 14 days from the day on which the Consumer informed Tectron of the decision to withdraw.

The direct cost of returning the goods is borne by the Consumer, unless Tectron has expressly agreed otherwise or mandatory law provides otherwise.

The goods must be returned complete, clean, undamaged and, where reasonably possible, with their original packaging, accessories, manuals, labels, anti-static protections and all items originally supplied.

Electronic components, modules, boards and sensitive products must be returned with adequate protective packaging, including anti-static packaging where appropriate. The Customer is responsible for damage caused by inadequate return packaging.

Returns sent cash on delivery or with shipping costs charged to Tectron will not be accepted.

18. Refunds after withdrawal

If the Consumer validly withdraws from the contract, Tectron will refund the payments received for the returned goods, including the standard initial delivery cost where required by law.

Additional delivery costs resulting from the Consumer's choice of a delivery method other than the least expensive standard delivery offered by Tectron will not be refunded, unless mandatory law provides otherwise.

Tectron may withhold the refund until it has received the goods back or until the Consumer has supplied evidence of having sent back the goods, whichever occurs first.

The refund will be made using, where possible, the same means of payment used by the Consumer for the original transaction, unless the Consumer has expressly agreed otherwise.

Tectron may reduce the refund to reflect any diminished value of the goods caused by handling other than what is necessary to establish their nature, characteristics and functioning, to the extent permitted by applicable law.

19. Order cancellation before shipment

The Customer may request cancellation of an order before shipment by contacting Tectron in writing.

If the order has not yet been shipped, handed over to the carrier, specially ordered, customised, prepared for dispatch or processed in a way that prevents cancellation, Tectron may cancel the order and refund any amount already paid.

For special-order products, non-stock items, products sourced specifically for the Customer, customised products or products prepared on request, cancellation may be subject to Tectron's written confirmation, without prejudice to mandatory consumer rights.

20. Customer obligations

The Customer undertakes to provide accurate, complete and truthful information during registration, checkout, payment, invoicing and delivery.

The Customer must not use the website for unlawful purposes, fraudulent orders, unauthorised resale where prohibited, infringement of third-party rights, abusive conduct, reverse engineering of technical databases or extraction of supplier data.

Where technical search tools, compatibility tools or product suggestion systems are available, they are provided to assist the Customer but do not replace professional technical verification by the Customer.

21. Reviews, feedback and customer content

Customer reviews and feedback must be truthful, relevant, respectful and based on genuine experience.

Tectron may moderate, refuse, remove or report reviews and content that are false, misleading, offensive, defamatory, unlawful, promotional, irrelevant, abusive, duplicated, generated by bots or otherwise contrary to these Terms or applicable law.

Where Tectron states that reviews are verified, it will indicate whether and how it checks that the reviews originate from customers who purchased or used the product.

Reviews published on third-party platforms, including Google, are also subject to the terms and policies of the relevant third-party platform.

22. Intellectual property

All trademarks, trade names, logos, texts, photographs, graphics, product sheets, databases, layouts, software, search tools and website content are protected by applicable intellectual property laws and may not be copied, extracted, reproduced, distributed, modified or used without prior written authorisation, except where permitted by law.

Product names, manufacturer names, OEM codes and trademarks belonging to third parties are used only for identification, compatibility or descriptive purposes. Their use does not imply affiliation, sponsorship or endorsement unless expressly stated.

23. Personal data

The processing of personal data is governed by the Privacy Policy and Cookie Policy published on the website, which are separate documents from these Terms.

Personal data may be processed for purposes connected with order management, payment, delivery, invoicing, customer service, returns, warranty claims, legal obligations, fraud prevention and, where applicable and legally permitted, marketing communications.

The Customer is invited to read the Privacy Policy to understand the identity of the data controller, purposes of processing, legal bases, retention periods, recipients, data subject rights and how to exercise those rights.

Tectron will make reasonable efforts to handle complaints within a reasonable time, taking into account the nature of the request, technical verification needs and supplier response times.

25. Alternative dispute resolution

Consumers may have access to alternative dispute resolution bodies or procedures under applicable law.

Unless legally required, Tectron does not undertake in advance to participate in alternative dispute resolution proceedings before a specific ADR body.

The former European Online Dispute Resolution platform is no longer available. Consumers may consult the relevant national or European consumer redress information channels where applicable.

26. Force majeure

Tectron shall not be liable for delay or failure to perform caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, cyberattacks, strikes, transport disruption, customs delays, supplier shortages, energy failures, pandemics, public authority measures, courier failures, network outages or other force majeure events.

27. Export restrictions and lawful use

The Customer undertakes not to purchase, export, re-export, transfer or use products in violation of applicable export control laws, sanctions, embargoes or restrictions.

Tectron may refuse or cancel orders where shipment, delivery or sale may breach applicable laws, sanctions, export rules or supplier restrictions.

28. Limitation of liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by mandatory law.

Subject to mandatory consumer rights, Tectron shall not be liable for damage caused by incorrect installation, wrong product selection, incorrect compatibility assessment, defective host equipment, unsuitable technical environment, misuse, unauthorised repairs, loss of profit, loss of data, loss of business, downtime, labour costs, installation costs, removal costs, reassembly costs or consequential loss.

For Business Customers, Tectron's total liability shall in any event be limited to the amount paid for the product giving rise to the claim, except in cases where liability cannot be limited under mandatory law.

29. Governing law and jurisdiction

These Terms and the sales contracts concluded through the website are governed by Italian law, without prejudice to any mandatory consumer protection provisions that may apply under the law of the Consumer's country of habitual residence.

For any dispute arising out of or in connection with these Terms or any sales contract, including disputes concerning validity, interpretation, performance, breach, termination or consequences thereof, where the Customer does not qualify as a Consumer under applicable law, exclusive jurisdiction shall lie with the Court of Salerno, Italy.

In relationships subject to mandatory consumer protection rules, jurisdiction shall be governed by the mandatory provisions of law applicable from time to time.

30. Final provisions

If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions shall remain valid and enforceable.

Failure by Tectron to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

For anything not expressly regulated by these Terms, the applicable provisions of Italian and European law shall apply.
